These Terms of Service govern all purchases made through circonis.com. They apply to both consumers (private individuals) and business customers, subject to the distinctions noted below.

By completing a purchase on this website, you confirm that you have read and accepted these terms. If you do not agree, please do not place an order.

Any general terms and conditions of the buyer do not apply, even if Circonis does not explicitly object to them in individual cases.

3. How to Order

Products are displayed on this website as an invitation to purchase, not a binding offer. To place an order:

• Select a product and click the purchase button
• You will be directed to a secure Stripe payment page
• Enter your delivery details and payment information
• Review your order and confirm payment

By confirming payment, you submit a binding offer to purchase the selected product at the stated price. You will receive an automated payment confirmation from Stripe. This is a payment receipt only — it does not constitute acceptance of your order by Circonis.

4. Contract Formation

A binding contract between you and Circonis is formed only when we dispatch your order. Until that point, Circonis reserves the right to decline or cancel an order for any legitimate reason, including stock unavailability, pricing errors, or concerns about the order.

If we are unable to fulfil your order, we will contact you as soon as possible and arrange a full refund of any payment taken. No further liability arises on the part of Circonis.

5. Prices & VAT

All prices shown on circonis.com are in Euros (€) and include German VAT (Mehrwertsteuer) at the applicable rate, unless otherwise stated. VAT is itemised on the invoice issued by Circonis.

Prices do not include shipping costs. Shipping rates are shown during the checkout process and are added to the order total.

Prices are subject to change without notice. The price that applies to your order is the price displayed at the time you confirm payment.

6. B2B VAT Exemption (Intra-Community Supply)

Business customers registered for VAT in an EU member state other than Germany may be eligible for zero-rated VAT under intra-community supply rules. To request VAT-exempt invoicing:

• Contact us at contact@circonis.com before or after placing your order
• Provide your valid EU VAT identification number
• Confirm that the goods will be delivered to a business address in your registered EU country

Circonis will verify the VAT number provided using the EU VIES system where possible. A corrected zero-rated invoice will be issued if the exemption is confirmed.

7. Payment

Payment is processed securely by Stripe. Circonis does not store or have access to your card details at any point.

Payment is due in full at the time of ordering. Orders are not processed until payment is confirmed.

Stripe may apply Strong Customer Authentication (3D Secure) as required under EU PSD2 regulations. VAT invoices are issued by Circonis separately, within 1 business day of dispatch. Stripe receipts do not constitute a VAT invoice.

8. Shipping & Delivery

Circonis ships from Berlin, Germany. Current shipping rates and estimated delivery times are listed on the Shipping page.

Delivery times are estimates only and not guaranteed. Circonis is not liable for delays caused by carriers, customs, or events outside our control.

Risk of loss or damage passes to you upon handover to the carrier for business customers. For consumer orders, risk passes upon physical delivery to you.

If a parcel is returned to us as undeliverable due to an incorrect address provided by the customer, re-shipping costs are payable by the customer.

9. Availability & Pricing Errors

All products are offered subject to availability. If a product becomes unavailable after your order is placed, or if a pricing error is identified, Circonis will contact you by email as soon as possible.

In such cases, we will offer you one of the following:

• An alternative product of equivalent specification and value
• A full refund of the amount paid, including any shipping fees

If we cannot reach you within a reasonable time, the order will be cancelled and a full refund issued. No further compensation is due.

10. Right of Withdrawal (Consumers)

If you are a consumer (a private individual not purchasing for business purposes), you have the right to withdraw from your order within 14 days of receiving the goods, without giving any reason. This right is provided under EU Directive 2011/83/EU and § 312g BGB.

Business customers do not have a statutory right of withdrawal. Returns for business orders are handled on a goodwill basis only — see the Return & Refund Policy for details.

11. Returns & Refunds

The full procedure for returning goods and receiving refunds is set out in our Return & Refund Policy, which forms part of these Terms of Service.

In summary: items must be unused, in original packaging, and returned within the applicable window. Consumable products that have been opened cannot be returned unless defective. Return shipping costs are the responsibility of the customer unless the item is faulty or incorrectly sent.

12. Statutory Warranty

Circonis is legally obliged to deliver goods that conform to the contract. If a product is defective or does not conform to its description at the time of delivery, you have statutory rights under German law (§§ 434 et seq. BGB).

For consumer purchases, the statutory warranty period is two years from the date of delivery. For business purchases, the warranty period is one year.

If you discover a defect, contact us at contact@circonis.com with your order number, a description of the defect, and photographs where applicable. We will assess the issue and propose a remedy — repair, replacement, or refund — as appropriate under applicable law.

13. Liability

Circonis is liable without limitation for damages caused by intent or gross negligence, and for damages resulting from injury to life, body, or health.

For all other claims, Circonis's liability is limited to the value of the order giving rise to the claim. Circonis is not liable for indirect losses, loss of profit, loss of business, or consequential damages.

This limitation does not apply where liability is mandatorily prescribed by law (for example under the German Product Liability Act, Produkthaftungsgesetz).

14. Product Use & Safety

Products sold by Circonis are industrial and professional-grade items. They must be used in accordance with the manufacturer's instructions, applicable safety data sheets (SDS), and all relevant local regulations.

Circonis accepts no liability for damage, injury, or loss arising from improper use, misuse, or use contrary to the product's stated specifications or instructions.

15. Intellectual Property

All content on circonis.com — including text, images, logos, and design — is the property of Circonis or its licensors and is protected by applicable intellectual property law. You may not reproduce, distribute, or use any content from this website without prior written permission.

Product names and trademarks belong to their respective owners. Their appearance on this website does not imply any affiliation beyond the authorised reseller relationship.

16. Dispute Resolution

We hope to resolve any issues directly. If you have a complaint, please contact us first at contact@circonis.com. We will do our best to find a fair solution promptly.

The European Commission provides an Online Dispute Resolution (ODR) platform for consumers who wish to resolve disputes with online traders:

Circonis is not obliged to participate in dispute resolution proceedings before a consumer arbitration board, and does not voluntarily participate in such proceedings.

17. Governing Law

These Terms of Service are governed by the law of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).

For consumer purchases, mandatory consumer protection laws of the country where the consumer resides apply in addition to German law, where those laws provide greater protection.

18. Changes to These Terms

Circonis reserves the right to update these Terms of Service at any time. The version in force at the time your order is placed is the version that applies to your purchase. We encourage you to review these terms periodically.

The "Last updated" date at the top of this page reflects when the terms were last revised.
